By accessing or using the services provided by Help Decoder LLC ("Help Decoder," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
Help Decoder provides custom software development, web development, UI/UX design, and related technical services. The specific scope, deliverables, timeline, and fees for each project will be outlined in a separate project agreement or statement of work.

Upon full payment, clients will own the final deliverables created specifically for their project. Help Decoder retains ownership of any pre-existing materials, general methodologies, and the right to showcase the work in our portfolio unless otherwise agreed.
Payment terms will be specified in each project agreement. Unless otherwise stated, invoices are due within 14 days of receipt. Late payments may result in project delays or suspension of services.
We agree to keep confidential any proprietary information shared by clients during the course of our engagement. Clients agree to keep confidential any proprietary methodologies or information shared by Help Decoder.
To the fullest extent permitted by law, Help Decoder shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the fees paid by the client for the specific project in question.
Our services are provided "as is" without warranties of any kind, either express or implied. While we strive for excellence, we do not guarantee that our services will be error-free or uninterrupted.
Either party may terminate a project agreement with written notice as specified in that agreement. Clients remain responsible for payment for work completed up to the termination date.
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware and the United States, without regard to conflict of law principles.
Any disputes arising from these terms or our services shall be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Delaware.
We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
